1. Background
Client is launching or operating a business presence and needs a public website plus company email on their domain (ascend-fg.com). Provider’s standard commercial model includes a one-time setup / FDE onboarding fee plus a monthly management fee. Because of Client’s stage and mutual relationship / referral context, Provider agrees to the commercial terms in Section 3.
2. Scope of work (initial engagement)
2.1 Included — website
Provider will design, build, host, and maintain a production website for Lumen Field Co substantially similar to the approved mock at:

Initial pages / areas (order flexible): Home, About, Join Our Team, Leadership, Testimonials, Contact, Get a Quote.
Brand direction: Faith · Family · Freedom, with Client-provided logo, colors, and copy as available. Placeholder or mock content may ship until Client supplies final product details.
Included ongoing website support (within reason):
- Feedback, feature, copy, and bug requests via the site feedback tool (or equivalent)
- Typical turnaround target: 24–48 hours for ordinary requests
- SEO / AEO-friendly structure and basic on-page optimization for launch
- Hosting on Provider’s preferred stack (e.g. Vercel) with domain connected (Cloudflare DNS may remain)
2.2 Included — email (time-sensitive)
Provider will configure professional email for Client’s domain (ascend-fg.com), including DNS / Workspace (or equivalent) setup guidance and technical configuration so Client can send and receive on the company domain without repeated address changes.
Target: setup in about 1 business day, plus up to ~24 hours for DNS/propagation / “warm” settle time (carrier/DNS dependent).
2.3 Not included in the $600 / month base (unless added later)
- Google Workspace (or other email vendor) subscription fees — billed by Google/vendor to Client
- Paid ads / lead-buy budgets
- Full marketing retainers, paid media management, or high-volume lead-gen systems (see Section 5)
- Custom quoting engines, CRM builds, or other major product work beyond a straightforward marketing site (unless scoped as a change)
3. Fees & payment
- One-time setup / FDE onboarding fee: $3,000
- Monthly management fee: $600 / month
- Third-party subscriptions (email, domain renewals, etc.): Client’s cost
Billing starts upon countersignature / go-live kickoff unless the parties note a different start date. Client may split the monthly fee internally between partners; Provider invoices one Client entity unless otherwise agreed.
Provider may revisit compensation later if Client expands scope significantly (see Sections 4–5). Launch need not wait on future expansion pricing.
4. Term, cancellation, and scope changes
- Initial term of 12 months from the activation date, then continuing month-to-month unless ended under this section.
- Either party may cancel with 30 days’ written notice after the initial term (or earlier by mutual written agreement).
- Ordinary feedback and small iterations are included.
- If scope changes drastically (new products, authenticated portals, heavy custom tooling, etc.), parties will agree in writing on adjusted fees before that work becomes the new baseline.
- Fees for monthly SKUs recur each month during the term unless the parties agree otherwise in writing.
5. Ramp-up / future growth (marketing & lead gen)
Client may begin by buying leads and getting systems in place, then within roughly 90 days may want to ramp into owned lead generation, marketing collateral, and related growth work.
This Agreement covers the initial website + email + light ongoing management only.
When Client is ready to expand:
- Client notifies Provider in writing (email is fine).
- Parties discuss goals, ideal customer profile (ICP), budget, and channel mix.
- Provider may propose a separate Growth / Marketing Addendum (or new SOW) with its own pricing.
Provider can support full-stack growth work (collateral, smart lead gen, etc.) but that work is not included in the $600 / month base fee, and Provider limits active marketing retainers (~five per year), so availability is best-effort / capacity-based. Nothing in this section obligates either party to start marketing work until a written addendum is signed.
6. Client responsibilities
Client will promptly provide:
- Domain access (e.g. Cloudflare) and approvals for DNS changes
- Logo, brand assets, headshots, bios, product/coverage copy, and compliance preferences
- List of email mailboxes / aliases needed and who owns them
- Timely feedback on mocks and production
Delays in Client inputs may delay email go-live or content accuracy.
7. Ownership & credentials
- Upon payment of amounts due, Client owns the website content and brand assets they provided.
- Custom code / site build: Client receives a perpetual license to use the site as operated for their business; Provider may reuse non-confidential patterns and tools.
- Hosting, repos, and admin access: Provider administers during the engagement; Client gets admin access on request and at offboarding.
- Domain may remain at Cloudflare; transfer/forward is optional and not required for email/site to work.
8. Disclaimer
Provider is not Client’s attorney, compliance officer, or insurance producer. Client is responsible for regulatory and marketing compliance of insurance (or other regulated) copy and claims. The site may launch with approximate or mock product language until Client supplies final approved copy.
9. Exclusions
- Third-party advertising spend and media buys
- Custom software development outside catalog SKUs
- Legal review of client-side compliance obligations
10. Notes
Dual-signed — open delivery + collect first invoice.
Acceptance
By signing below, Travis Curnutte for Vilya Consulting LLC and the authorized signer for Lumen Field Co agree to this commercial understanding and authorize Provider to proceed with website production cutover and email setup. Dual-party electronic signature via Vilya Sign constitutes execution.
